AvantLink Terms of Use Agreement for AvantShare (Merchants)

Avant Marketing Group, Inc. (herein known as "the Network") maintains a blog network (herein known as "AvantShare") for it's membership base which consist of a network blog, branded Merchant blogs and an open Affiliate blog. The Network maintains AvantShare as a service to Affiliates and Merchants. By using AvantShare, Merchants agree to comply with and be bound by these Terms of Use.

Introduction

Merchants agree to the terms and conditions outlined in this Terms of Use Agreement for AvantShare. This Agreement for AvantShare constitutes the entire agreement between Merchants and AvantShare, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Network, and the subject matter of this agreement. The current Agreement for AvantShare will remain posted at this location at all times.

Terms of Use Changes

The network reserves the right to update, suspend, discontinue, change or otherwise modify this Terms of Use Agreement for AvantShare at any time. When changes are made, notification will be made through the Network blog or through email. At that time Merchants may either agree to notified changes or withdraw from AvantShare.

AvantShare Content Exclusivity

AvantLink merchants who are part of AvantShare must post promotions, news, product information or commentary exclusive to their involvement in the Network. Those merchants who utilize other Affiliate marketing technologies besides AvantLink may not promote or otherwise feature content related those other networks through AvantShare. The AvantShare blog network is exclusive to AvantLink related content or promotions.

Category Specific Posts

Merchants in AvantShare own exclusive rights to a branded blog category dedicated to their Affiliate program in the Network. All posts, promotions, content and commentary must be archived in the Merchant's assigned category only. Merchants may not post to any other categories on AvantShare besides their own.

The Network Retains Rights to All Content

The Network retains the rights to all content and commentary posted to AvantShare. At any time, and for any reason, Merchant's blog post may be modified or otherwised removed from AvantShare.

Merchant Direct Links

Any direct links from Merchant branded blogs on AvantShare for the purpose of link building and SEO may be posted to retail web sites that are active and integrated in the Network. Other retail sites owned by Merchants that do not offering an Affiliate program through the Network may not be linked to from AvantShare. Links to merchant blogs or content sites that support their retail operations are permitted.

Limitation of Liability, Indemnification

Neither the Merchant nor the Network will be liable to the other for special, indirect or consequential damages (including damages for loss of business, loss of profits, litigation, or the like), incurred or suffered by the other arising as a result of or related to the performance of AvantShare, accuracy of content or information, whether in contract, tort or otherwise, even if the other has been advised of the possibility of such loss or damages. Merchants will indemnify and hold the Network harmless against any claims incurred by the Network arising out of or in conjunction with breach of this AvantShare Agreement.

Links to Other Web Sites

The Network and AvantShare may contain links to third-party web sites. The Network or AvantShare do not control or monitor such web sites on a regular basis. The Network and AvantShare is not responsible for the computer programs available from, content in or opinions expressed at such web sites. The Network and AvantShare provides such third-party links only as a convenience and resource to visitors, and the inclusion of a link does not imply approval or endorsement of the linked site by the Network or by AvantShare. If you decide to leave AvantShare and access any third-party web site, you do so at your own risk.

Warranty and Disclaimer

The Network warrants the computer programs, information and other content available on AvantShare are accurate and functional "as-is" to the best of the Network's ability. ALL OTHER WARRANTIES ARE DISCLAIMED. THIS WARRANTY IS EXCLUSIVE AND IS IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY ORAL OR WRITTEN REPRESENTATIONS, PROPOSALS OR STATEMENTS MADE ON OR PRIOR TO THE DATE OF USAGE.

AvantShare Availability or Performance

Although the Network will make every effort to keep AvantShare accessible and working in a functional and error free state, the Network makes no gaurantees on the performance and availability of the AvantShare blog network. If such unschduled outages do occur, database backups are available.
